Terms of Service

These Terms of Service ("Terms") govern your access to and use of Touchdown Theory (the "Service"), operated by 3D Digital Media LLC ("we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old to use the Service. By using it, you represent and warrant that you are 18 or older and that the information you provide is accurate. The Service is intended for users in the United States.

The Service is a research and analysis tool. It provides statistical projections, fair-value estimates, and explanatory analysis for NFL games and players. Its purpose is to help you understand the games and form your own views.

The Service is not a betting or gambling service, and it is not financial, investment, or wagering advice. Specifically, the Service does not:

• sell or provide betting picks, selections, or recommendations on what to wager;
• publish or guarantee any win/loss record, win rate, profit, or return;
• place, accept, process, or facilitate any bet or wager; or
• integrate with, or operate as, a sportsbook or gambling operator.

Any decision you make based on information from the Service, including any wager you choose to place with a third party, is your decision alone and is made at your own risk.

The Service's projections are statistical estimates. They are inherently uncertain and will frequently be wrong. We make no representation, warranty, or guarantee about the accuracy, completeness, or outcome of any projection, estimate, or analysis. Where past model performance is shown, it does not predict future results. You should not treat any output as a guarantee of any outcome.

The Service uses passwordless login: you sign in with a one-time code sent to your email address. You are responsible for keeping access to your email account secure and for all activity that occurs under your account. Notify us promptly at touchdowntheory@gmail.com if you believe your account has been accessed without your authorization.

Free preseason. During the preseason period preceding the paid launch, the Service is offered free of charge.

Paid subscription. After the free period, continued access requires a paid subscription. Pricing is presented at sign-up. Subscriptions are offered on a monthly or annual basis.

Founder pricing. Subscribers who join during the founder window receive a founder rate. The founder rate is preserved for as long as the subscription remains continuously active, including across the offseason pause described below. If you deliberately cancel and later return, the founder rate is forfeited and standard pricing applies.

Offseason pause and resume. Because the Service follows the NFL season, subscriptions automatically pause during the offseason, during which you are not charged, and automatically resume at the start of the following season, at which point billing resumes. By subscribing, you authorize this recurring, automatically resuming charge. We will send you a reminder by email before billing resumes.

Cancellation. You may cancel at any time through your account settings. Cancellation stops future charges. Cancelling is a deliberate cancel-and-return event for purposes of the founder rate described above, and the "cancel" action will clearly warn you that it forfeits any founder rate.

Refunds. Except where required by law, payments are non-refundable. If you cancel, you keep access through the end of your current billing period and are not charged for the following period.

Price changes. We may change standard pricing on a going-forward basis with notice. A change does not affect a preserved founder rate while the subscription remains continuously active.

You agree not to:

• share your account, login codes, or access with any other person;
• exceed any device or concurrent-session limits we apply;
• access the Service in a way that circumvents our access controls or anti-sharing measures;
• scrape, harvest, copy, resell, redistribute, or commercially exploit the Service's data, projections, or content;
• use automated means to access the Service except as we expressly permit; or
• use the Service for any unlawful purpose or in violation of these Terms.

We may suspend or terminate accounts that violate this section.

The Service, including its models, projections, analysis, text, design, and all related content, is owned by 3D Digital Media LLC and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial use while your subscription is active. No other rights are granted.

The Service displays data from third parties, including betting odds obtained through a third-party data provider that shows lines from sportsbooks such as DraftKings and FanDuel. We do not control third-party data and do not guarantee its accuracy, availability, or timeliness. Displaying a sportsbook's odds is not an endorsement of, or affiliation with, that sportsbook.

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, 3D Digital Media LLC and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service, including any wager or financial decision you make. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose.

You agree to indemnify and hold harmless 3D Digital Media LLC from any claims, losses, or expenses arising out of your use of the Service or your violation of these Terms.

We may suspend or terminate your access to the Service at any time for violation of these Terms or for conduct we reasonably believe is harmful to the Service or to other users. You may stop using the Service at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Ohio, and you consent to the jurisdiction of those courts.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. We may assign these Terms; you may not. Our failure to enforce any provision is not a waiver of it.
